Yo, Rich - here's another idea...
If you're worried about the incorporation costs and lax liability laws which favour the ambulance-chasing divorce-court-happy amoral wasteland that is California, why not incorporate in Canada? All you need is one director who's Canadian. It'll be cheaper, and you could move the server host up here - which means to get shut down, they'd have to get an injunction for you in OUR court, not the revolving-door fiasco that is American civil law (no offense - ours is even more beureaucratic - which would benefit Rich in this case). Any lawsuit or action would have to go down up here - which, given the greater effort and hassle this would entail, is probably more trouble than it's worth for them...
